General Membership Meeting
November 5, 2006
 
SWCA President Dr. Barry Ezell called meeting to order at 2:00 p.m. Board Members
present included Jim Bayley, Jim Newton, Maureen Newton, Karen Renda, and Barry
Ezell. Nominated Board Members present included Suzy Phillips, Pete Leavitt, and
Preston Harts. Guests included Robyn LaConte, Dave LaConte, Frank and Vicky
Gagliano, Jack Clarke, and Lori Morgan.
 
Discussion began with Mr. Gagliano inquiring as to the status of mandatory civic
association dues. Dr. Ezell explained that he has been doing some investigating into the
possibility of mandatory civic association dues for those new home owners within Salem
Woods and current owners being grandfathered into voluntary dues. Dave LaConte has
agreed to assist Dr. Ezell in this continuing investigation.
 
Ms. Morgan informed the board that we only received 15 valid proxy votes prior to the
meeting and in accordance with the By-Laws, we are required to have 25% of SWCA
members present for action. Currently, there are 194 SWCA members, which makes
quorum for this meeting 48.5. Lacking this quorum, the Board decided to reschedule (in
accordance with the By-Laws) the Community Meeting until December 10, 2006 at 2:00
p.m. and continue with a monthly board meeting. Notice will be sent not less than 15
days prior to all SWCA members through either email or phone calls.
 
Motion was made by Dr. Ezell for approval of the October Board Meeting Minutes and
seconded by Maureen Newton. Motion passed.
 
Discussion continued regarding mandatory civic association dues. Mr. LaConte
mentioned several publications available for guidance for the SWCA Board. It was also
suggested that we investigate at the city level for association guidance.
 
Dr. Ezell stated that his goal is to set up an online payment system on our existing
website for 2007 SWCA dues. The office will send out billing statements the first week
in January to all Salem Woods residents. This mailing will not qualify for Bulk Mail and
will be sent 1st class with a return envelope.
 
Dr. Ezell stated that he will have fulfilled his commitment to serve as President and will
be stepping down at the end of the year. He will transition with, and fully support the
newly elected President which we anticipate taking place January 1, 2007. Dr. Ezell will
continue to serve on the Board as Deed Chairman; maintain the website; and SWCA
Database. His commitment remains for building a strong community.
 
Dr. Ezell announced that Ms. LaConte will no longer be updating the Reader Board. He
thanked her for years of diligent service to the community. Asking for volunteers, Ms.
Phillips agreed to take over for a three month period. It was decided that such a time
